Affiliate Terms & Conditions

1. Definitions

  • Company: Susan Miller (https://thesusanmiller.com/)
  • Affiliate: An individual or business that applies and is accepted into the Susan Miller Affiliate Program.
  • Parties: The Company and the Affiliate collectively.
  • Affiliate Program: The program offered by the Company that allows Affiliates to earn commissions by promoting the Company’s products and services.
  • Affiliate Application: The online form used by individuals or businesses to apply to the Affiliate Program.

2. Nature of the Partnership

The Affiliate Program is based on a performance-driven relationship. Affiliates are independent contractors, and nothing in this Agreement shall be construed to create an employer-employee relationship.

 

3. Application and Acceptance into the Program

To be eligible to apply to the Program, you must:

  • Be at least 18 years old.
  • Have a website or other online presence that aligns with our brand and target audience.
  • Be able to generate qualified traffic to our website.
  • Comply with all applicable laws and regulations.

3.2 Application Process

  • We review all applications carefully before making a decision.

3.3 Notification

4. How the Affiliate Program Works

Our Affiliate Program is designed to reward you for driving qualified traffic and sales to our website. Here’s a breakdown of the process:

4.1 Earning Commissions

There are two primary ways to earn commissions in our program:

  • Coupon Usage: We provide each affiliate with unique coupon codes. When a customer makes a purchase using your unique code, you earn a commission on the sale.
  • Affiliate Link Sales: Even without a coupon, you can earn commissions when a customer clicks on your unique affiliate link and completes a purchase within our designated cookie window (explained further in section 5).

We believe coupons are a powerful tool to incentivize purchases. Here’s how they benefit you and your audience:

4.3 Our Role

  • Unique Coupon Codes: We provide each affiliate with unique, trackable coupon codes for easy commission attribution.
  • Marketing Materials: We offer various marketing materials, such as banners and text links, to help you promote our products and your unique affiliate links.
  • Performance Tracking: You’ll have access to a dedicated affiliate dashboard to track your clicks, conversions, and commission earnings.
  • Dedicated Support: We’re here to help! Our affiliate team is available to answer your questions and provide support throughout your program journey.
 

5. Non-Exclusivity

The Affiliate Program is non-exclusive. The Company may enter into similar agreements with other affiliates and the Affiliate is free to promote other businesses and products.

 

6. Responsibilities of the Parties

A. Affiliate Responsibilities

  • Promote the Company’s products and services using the provided affiliate links and marketing materials in accordance with these Terms of Use.
  • Comply with all applicable laws and regulations in connection with their affiliate marketing activities.
  • Maintain a website or platform that is professional and does not contain any content that is illegal, obscene, defamatory, or otherwise objectionable.
  • Clearly disclose their affiliate relationship with the Company whenever promoting the Company’s products or services.
  • Track their affiliate earnings and performance through the provided tracking tools.
  • Not engage in any form of click-spamming, misleading advertising, or other unethical marketing practices.

B. Company Responsibilities

  • Provide Affiliates with unique affiliate links and marketing materials.
  • Track affiliate referrals and sales through the an Affiliates plugin.
  • Pay Affiliates their earned commissions on a timely basis according to the terms outlined in Section 7.
  • Provide ongoing support and resources to Affiliates through the Affiliate Program dashboard or other designated channels.
 
 

7. Commission and Payment

This section outlines how you can earn commissions and how we handle payments.

7.1 Earning Eligibility

You become eligible to earn commissions when a customer completes a purchase on our website that can be tracked back to your unique affiliate code or link. Here’s how it works:

  • Coupon Code: When a customer uses your unique coupon code at checkout, the purchase is attributed to you, and you earn a commission.
  • Affiliate Link: When a customer clicks on your unique affiliate link and completes a purchase within our cookie window (explained further below), the purchase is attributed to you, and you earn a commission.

7.2 Commission Rates

We offer a generous commission rate of $[200] per purchase of our LinkedIn For Leads program. This means you earn $[200] for every qualified LinkedIn For Leads program sale generated through your unique affiliate code or link. All other purchases are 30% commission rates.

7.3 Tracking and Eligibility

A purchase/click is eligible for commission when it meets the following criteria:

  • Coupon Code Usage: The customer uses your unique coupon code at checkout.
  • Affiliate Link Click: The customer clicks on your unique affiliate link and makes a purchase within our cookie window (explained below).
  • Cookie Tracking: The customer has cookies enabled on their device, allowing us to track the referral source.

7.4 Cookie Window

Our affiliate program uses a 60-day cookie window. This means that if a customer clicks on your affiliate link and makes a purchase on our website within 60 days of that initial click, you will still earn a commission on the sale.

7.5 Excluded Actions

The following fraudulent actions will make a purchase ineligible for commission:

  • Cookie Stuffing: Placing affiliate tracking cookies on a user’s device without their knowledge or consent.
  • Spamming: Using affiliate links to spam traffic to our website.
  • Spoof Traffic: Sending invalid clicks and false impressions to our website.
  • Transaction Fraud: Using fake or stolen credit cards to make purchases through affiliate links.
  • Fake Leads: Using bots to fill out forms with fake contact information.

We take these actions seriously and may terminate your affiliate account if we detect any fraudulent activity

 

8. Link Promotion Terms

  • Affiliates may promote their affiliate links on their website, social media platforms, email marketing campaigns, and other online channels.
  • Affiliates may not place their affiliate links on websites or platforms that contain content that is illegal, obscene, defamatory, or otherwise objectionable.
  • Affiliates may not use misleading or deceptive advertising practices to promote their affiliate links.
  • Affiliates may not engage in spamming or other methods of unsolicited communication to promote their affiliate links.
 
 

9. Brand Promotion Terms

  • Rules for Using Brand Name: Affiliates may use the Company’s name (“Susan Miller”) to promote the Company’s products and services, but they must do so in a way that is respectful and does not disparage the Company’s reputation.
  • Messaging Guidelines: All messaging and marketing materials used by Affiliates to promote the Company’s products and services must be truthful, accurate, and consistent with the overall brand message of Susan Miller. Affiliates must not make any claims that the Company does not endorse or that could mislead consumers.
  • Intellectual Property Guidelines: All logos, trademarks, slogans, and other intellectual property displayed on the Website or provided to Affiliates are the exclusive property of Susan Miller. Affiliates may only use these materials in accordance with the Company’s brand guidelines and with the Company’s prior written consent.
 

10. Affiliate Tracking

We utilize the WooCommerce Coupon Affiliates plugin to track your affiliate activity and ensure accurate commission attribution. Here’s a breakdown of how it works:

10.1 Tracking Method

The WooCommerce Coupon Affiliates plugin leverages a combination of methods to track your performance:

  • Unique Coupon Codes: Each affiliate receives a unique coupon code. When a customer uses this code at checkout, the plugin effortlessly tracks the purchase back to you.
  • Affiliate Link Tracking: The plugin generates unique affiliate links for you. When a customer clicks on your link and lands on our website, a cookie is stored on their device. If they make a purchase within the designated cookie window (explained further below), the plugin attributes the sale to you.

10.2 Information Collected

The plugin collects the following information to track your activity and manage commissions:

  • Clicks: The plugin tracks the number of times people click on your unique affiliate links.
  • Conversions: The plugin tracks the number of purchases that can be attributed to your unique code or link.
  • Sales Amount: The plugin tracks the total sales amount generated through your affiliate efforts.
  • Commission Earned: The plugin calculates your commission based on the agreed-upon commission rate and the sales you generate.

10.3 Software Used

  • WooCommerce Coupon Affiliates Plugin: This plugin is the primary tool used to track your clicks, conversions, and commission earnings.
  • WooCommerce : Our online store is built on the WooCommerce platform, and the plugin integrates seamlessly with it for comprehensive tracking.

11. Confidentiality Agreement

This section outlines the confidential information both parties agree to keep confidential.

11.1 Confidential Information

The following information is considered confidential under this Agreement:

  • For Us (The Business):

    • Non-Public Business Information: This includes any information we consider proprietary or not publicly known, such as:
      • Pricing strategies and product margins
      • Marketing plans and future product roadmaps
      • Customer data and lists (excluding publicly available information)
      • Supplier information and agreements (excluding publicly available information)
      • Financial information and reports
  • For You (The Affiliate):

    • Your Non-Public Business Information: This includes any information you consider proprietary or not publicly known, such as:
      • Your marketing strategies and audience demographics (excluding publicly available information)
      • Your client lists or follower information (excluding publicly available information)
      • Your unique marketing materials and creative assets

11.2 Obligations

Both parties agree to:

  • Use confidential information only for the purpose of fulfilling their obligations under this Agreement.
  • Not disclose confidential information to any third party without prior written consent from the disclosing party.
  • Take reasonable precautions to protect the confidentiality of the information, using the same degree of care you use to protect your own confidential information, but no less than a reasonable standard of care.
  • Immediately notify the other party if you become aware of any unauthorized disclosure or use of confidential information.

11.3 Exceptions

The following are not considered breaches of confidentiality:

  • Information that is already publicly known through no fault of the receiving party.
  • Information that is independently developed by the receiving party without using confidential information of the disclosing party.
  • Information that is required to be disclosed by law or court order, provided the receiving party uses reasonable efforts to notify the disclosing party beforehand and cooperate in seeking any available confidential treatment.
 
 

12. Termination or Suspension

This section outlines the conditions under which this Agreement can be terminated or suspended.

12.1 Term

This Agreement becomes effective upon your electronic acceptance of these Terms of Use and remains in effect until terminated by either party as specified in this section.

12.2 Termination by Us (The Company)

We reserve the right to terminate this Agreement at any time, with or without cause, upon written notice to you. This means we can terminate the Agreement even if you haven’t violated any terms. We will provide you with written notification if we choose to terminate the Agreement.

In addition to termination, we may also suspend your affiliate account and withhold commission payments if you are found to be in violation of these Terms of Use or the separate Affiliate Agreement.

12.3 Termination by You (The Affiliate)

You have the right to terminate this Agreement at any time by providing written notice to us.

12.4 Effects of Termination

Upon termination of this Agreement, the following will occur:

  • Your right to use our brand assets and affiliate links will immediately cease. You must remove any of our marketing materials from your website or online presence.
  • We will pay you for any earned commissions that have not yet been paid out according to the terms outlined in the Affiliate Agreement.

12.5 Survival

Certain provisions of this Agreement will survive termination, meaning they will remain enforceable even after the Agreement ends. These surviving provisions include:

  • Confidentiality obligations (outlined in Section 11)
  • Our right to recover any damages you cause to us.
 
 

13. Legal Stipulations

This section outlines important legal considerations regarding this Agreement.

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America. This means that any legal disputes arising from this Agreement will be settled according to the laws of Ohio.

13.2 FTC Endorsement Guidelines

As an affiliate, you agree to comply with all applicable Federal Trade Commission (FTC) endorsement guidelines. These guidelines ensure transparency in advertising and protect consumers from misleading claims. Here’s what this means for you:

  • Clearly Disclose Relationship: Whenever you promote our company’s products or services, you must clearly disclose your relationship with us as an affiliate. This could involve stating something like “I am a paid affiliate for [Company Name]” or “I earn a commission for sales made through my affiliate link.”

13.3 Breach of Agreement

If either party breaches (violates) this Agreement, the non-breaching party has the right to pursue legal remedies. This could include seeking a court order to stop the other party’s actions (injunctive relief) or seeking compensation for damages caused by the breach.

13.4 Indemnification

This section outlines indemnification, which means protecting another party from legal or financial harm. Here’s how it applies:

  • Each party agrees to indemnify (hold harmless) the other party from any claims, losses, or expenses arising from a breach of this Agreement by the indemnifying party.

13.5 Limitation of Liability

Our maximum liability to you under this Agreement is limited to the total amount of commissions you earned in the preceding twelve (12) months. This means if a legal issue arises, the maximum amount we would be responsible for is capped at your past year’s earnings from our program.

13.6 Severability

If any provision of this Agreement is found to be invalid or unenforceable, that specific provision will be struck from the Agreement, and the remaining provisions will still be enforceable.

 

 

 

14. Changes

These Terms and Conditions may be amended from time to time in order to maintain compliance with
the law and to reflect any changes to the way we operate our Site and the way we expect users to
behave on our Site. We will notify users by email of changes to these Affiliate Terms and Conditions or post a
notice on our Site.
